SIP-KLIP™ designs, manufactures, and sells the Sip-Klip™, a patent-pending hinged clip that transforms standard coasters into protective lids for beverages. Our products are intended to help protect drinks from insects, debris, and other contaminants in outdoor and social settings. While Sip-Klip™ may help reduce exposure to unwanted stuff, you are responsible for your own beverage safety, including monitoring your drink, using reasonable judgment, and following applicable safety guidance in the environment where you are consuming beverages.

3.1 Product Descriptions

We strive to provide accurate descriptions, images, and specifications of our products on the Website. However, we do not warrant that product descriptions, photographs, pricing, or other content on the Website is accurate, complete, reliable, current, or error-free. Colors and appearance may vary slightly due to monitor settings and photographic limitations.

3.3 Patent-Pending Status

The Sip-Klip™ product design is patent-pending. Unauthorized reproduction, duplication, or imitation of our product design is strictly prohibited and may result in legal action.

3.4 Product Use & Safety

Sip-Klip™ is designed to help keep insects, debris, and other unwanted material out of your beverage by enabling a coaster to function as a flipping lid. However, Sip-Klip™ is not a guarantee of safety. You are solely responsible for your own beverage safety and for assessing whether a beverage is safe to consume. Do not leave drinks unattended, and do not rely on Sip-Klip™ as the only means of preventing contamination, tampering, or other harm.

4. Orders and Purchases

4.1 Order Acceptance

Your submission of an order constitutes an offer to purchase the products identified in your order. All orders are subject to acceptance by SIP-KLIP™. We reserve the right to refuse or cancel any order for any reason, including but not limited to:

• Product availability;
• Errors in product or pricing information;
• Suspected fraudulent activity;
• Errors in your order; or
• Inability to verify payment information.

If we cancel an order after payment has been processed, we will issue a full refund to the original payment method.

4.2 Pricing

All prices displayed on the Website are in U.S. Dollars unless otherwise indicated. Prices are subject to change without notice. Applicable taxes, shipping, and handling charges will be added to your order total at checkout.

We make every effort to ensure pricing accuracy. In the event of a pricing error, we reserve the right to cancel the order and refund any amounts charged.

SIP-KLIP™ is not responsible for delays caused by carriers, customs, weather, or other circumstances beyond our reasonable control.

Risk of loss and title for products pass to you upon delivery to the carrier.

PRE-ORDERS

From time to time, SIP-KLIP™ may offer certain products for pre-order. A pre-order is an advance purchase for a product that is not yet in stock.

• Payment at time of order: Payment is collected at the time you place your pre-order.
• Estimated ship dates: Any estimated shipping date or timeframe provided is an estimate only and may change due to production, fulfillment, or supply chain factors.
• Cancellation before shipping: You may cancel your pre-order at any time before the shipping process begins for a full refund to the original payment method.
• Combined orders: If you purchase a pre-order item together with in-stock items, the entire order will ship together when the pre-order item is ready, unless we specify otherwise at checkout or in writing.
• Email updates: We will provide email updates regarding significant changes to the estimated shipping timeline.

5. Returns and Refunds

5.1 Return Policy

If you are not satisfied with your purchase, you may return unused, unopened products in their original packaging within thirty (30) days of delivery for a refund or exchange, subject to the conditions outlined in our Return Policy available on the Website.

5.2 Defective Products

If you receive a defective or damaged product, please contact us within fourteen (14) days of delivery. We will, at our discretion, replace the product or issue a refund.

5.3 Refund Processing

Approved refunds will be processed to the original payment method within a reasonable timeframe. Shipping costs are non-refundable unless the return is due to our error or a defective product.

You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

6.3 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for personal, non-commercial purposes. This license does not include the right to:

• Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Content;

6A.3 No Reverse Engineering

You agree that you will not (and will not attempt to) dismantle, disassemble, decompile, reverse engineer, or otherwise attempt to derive the design, mechanics, structure, or operation of any SIP-KLIP™ products, including the Sip-Klip™ hinged mechanism, except to the extent such restriction is prohibited by applicable law.

6A.4 Third-Party Disclaimer

Any references on the Website or in marketing materials to third-party brands or products (for example, Jibbitz or beverage brands) are for descriptive and identification purposes only. Such references do not imply any endorsement, sponsorship, affiliation, or relationship with SIP-KLIP™ unless expressly stated by us in writing. All third-party trademarks are the property of their respective owners.

6A.5 Content Ownership

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SIP-KLIP™, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

IN NO EVENT SHALL SIP-KLIP™’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE OR PRODUCTS EXCEED THE AMOUNT YOU PAID TO SIP-KLIP™ FOR PRODUCTS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100.00), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify, defend, and hold harmless SIP-KLIP™, its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

This indemnification obligation shall survive the termination of these Terms and your use of the Website.

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the United States and the State in which SIP-KLIP™ is incorporated, without regard to its conflict of law principles. If SIP-KLIP™ is not incorporated, then the governing state law will be the laws of the State of our principal place of business.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or in courts of competent jurisdiction, as permitted by applicable law.

12.3 Waiver of Class Action

TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS, AND YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

The failure of SIP-KLIP™ to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of SIP-KLIP™.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Website, constitute the entire agreement between you and SIP-KLIP™ concerning your use of the Website and supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between you and SIP-KLIP™ with respect to the Website.

17. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of SIP-KLIP™. SIP-KLIP™ may assign or transfer these Terms without restriction.
